Welcome to Jam AI. These Terms of Service ("Terms") govern your access to and use of Jam AI's website, web application, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Jam AI, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including visitors, registered users, and subscribers.

2. Description of Service

Jam AI is a knowledge management and AI-powered collaboration platform that allows users to:

• Create and organize projects, nodes, and connections
• Interact with AI assistants powered by Google Gemini
• Upload and manage files, including PDFs, images, and YouTube transcripts
• Collaborate with AI team members and personalities
• Store and manage their knowledge and content

The Service may change over time as we iterate an MVP, and we may add, remove, or modify features.

3. Account Registration and Eligibility

• You must be at least 13 years old to use the Service. If you are under 18, you must have parental consent.
• You must provide accurate, current, and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not create multiple accounts to circumvent usage limits or restrictions
• We reserve the right to suspend or terminate accounts that violate these Terms

4. User Content and Intellectual Property

4.1 Your Content

• You retain ownership of all content you create, upload, or submit to the Service ("User Content")
• By using the Service, you grant Jam AI a worldwide, non-exclusive, royalty-free license to host, store, reproduce (as necessary for technical processing), and process your User Content solely to provide, maintain, and improve the Service
• You are solely responsible for your User Content and its legality, accuracy, and appropriateness
• You represent and warrant that you have all necessary rights to grant the license described above

4.2 AI Features and File Processing

• The Service includes AI features. When you use AI features, you provide prompts/inputs and you may receive AI-generated outputs.
• If you upload files (such as PDFs) and choose to use AI features that operate on those files, the Service may process those files and related metadata to provide functionality such as indexing, search, summarization, or question answering.
• AI features may be provided via third-party services (such as Google Gemini). Your prompts/inputs and file content may be transmitted to those providers for processing, subject to their terms and policies.

4.3 Prohibited Content

You agree not to upload, post, or transmit any User Content that:

• Violates any applicable laws or regulations
• Infringes on intellectual property rights of others
• Contains harmful, offensive, or illegal material
• Includes malware, viruses, or other malicious code
• Violates privacy rights of others
• Is spam, unsolicited, or unauthorized advertising

4.4 AI-Generated Content

• AI-generated content is provided "as is" and may contain errors or inaccuracies
• You are responsible for reviewing and verifying AI-generated content before relying on it
• Jam AI does not guarantee the accuracy, completeness, or usefulness of AI-generated content
• You may not use AI-generated content in a way that violates these Terms or applicable laws

5. Subscription Plans and Payments

5.1 Subscription Plans

• Jam AI offers various subscription plans, including Free, Pro, Teams, and Enterprise plans
• Plan features, pricing, and credit allocations are subject to change with notice
• Free plans may have usage limitations and restrictions
• Paid plans are billed on a monthly or annual basis, as selected

5.2 Payments

• Payments are processed by Stripe, a third-party payment processor
• You agree to provide accurate payment information and authorize us to charge your payment method
• All fees are non-refundable except as required by law or as explicitly stated in these Terms
• Subscription fees are charged in advance for the billing period
• If payment fails, we may suspend or terminate your subscription

5.3 Credits

• Credits are used for AI operations and features within the Service
• Credit allocations vary by subscription plan
• Credits reset at the beginning of each billing cycle and do not roll over
• Credits have no cash value and are non-transferable
• We reserve the right to adjust credit costs and allocations

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You will continue to have access to paid features until the end of your billing period
• Refunds are provided only as required by law or at our sole discretion
• If you cancel, you will lose access to paid features at the end of your billing period

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems, bots, or scripts to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any copyright, trademark, or other proprietary notices
• Use the Service to transmit spam, chain letters, or unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service in a manner that could damage, disable, or impair the Service
• Violate any applicable export control laws or regulations

7. Service Availability and Modifications

• We strive to provide reliable service but do not guarantee uninterrupted or error-free operation
• We may modify, suspend, or discontinue any part of the Service at any time with or without notice
• We reserve the right to perform maintenance, updates, or modifications that may temporarily interrupt service
• We are not liable for any loss or damage resulting from service interruptions or modifications
• We may add, remove, or modify features at any time

8. Third-Party Services

The Service may integrate with or use third-party services, including:

• Firebase (Google): For authentication, data storage, and hosting
• Stripe: For payment processing
• Google Gemini: For AI-powered features
• Google Analytics: For analytics and usage tracking
• Resend: For email delivery

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

9. Intellectual Property Rights

• The Service, including its design, features, and functionality, is owned by Jam AI and protected by intellectual property laws
• Jam AI trademarks, logos, and brand names are our property
• You may not use our trademarks or logos without our prior written consent
• You may not copy, modify, distribute, or create derivative works of the Service
• Any feedback or suggestions you provide may be used by us without obligation to you

10. Disclaimers and Limitations of Liability

10.1 Disclaimers

• The Service is provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We do not warrant the accuracy, completeness, or usefulness of any information provided by the Service
• AI-generated content may contain errors, inaccuracies, or offensive material

10.2 Limitation of Liability

• To the maximum extent permitted by law, Jam AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities
• We are not liable for any damages resulting from your use or inability to use the Service

11. Indemnification

You agree to indemnify, defend, and hold harmless Jam AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

12. Termination

• You may terminate your account at any time by deleting it through your account settings
• We may suspend or terminate your account immediately if you violate these Terms
• Upon termination, your right to use the Service will cease immediately
• We may delete your account and data after a reasonable period following termination
• Sections of these Terms that by their nature should survive termination will survive

13. Dispute Resolution

If you have a dispute with Jam AI, you agree to first contact us at support@usejamai.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, you agree to resolve disputes through binding arbitration, except for claims that qualify for small claims court.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Jam AI operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jam AI regarding the Service and supersede all prior agreements and understandings.
